These Terms and Conditions (“Terms”) are an agreement between you and Manor Enterprises, LLC (“we”, “us”, “our”). They govern your use of Manor: the Manor mobile app for Android and iOS, the Manor web app, the owner portal and the online payment pages (together, the “Service”).
1. The Service
Manor helps cleaning and property-care companies (“Companies”) run their operations. With it they can schedule and assign cleaning, inspection and maintenance work, record completed work with checklists and photos, message their team, track inventory, manage the properties they care for, and invoice property owners and collect payment online. Property owners can use the owner portal to view work done at their properties and to pay invoices.
Manor is a tool. The Company, not us, performs the cleaning and property services, sets its prices, and is responsible for the work its staff do. We are not a party to any agreement between a Company and its staff, customers, property owners or guests.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use in the United States. You may not use it if the law prohibits you from doing so.
3. Accounts and security
- Accounts are created when a Company’s application is approved, or when a Company invites you. Give accurate information and keep it up to date.
- Keep your password confidential and do not share your account. You are responsible for activity under your account.
- Tell us immediately at admin@trymanor.com if you suspect unauthorized use of your account.
- If you sign out or uninstall the app, work you saved offline but have not yet uploaded may be lost.
4. Companies and their users
- A Company controls its workspace. Its administrators decide who is invited, what role each person has, what each person can see, and when a user’s access ends.
- A Company is responsible for having the right, and giving any notices or obtaining any consents required by law, to put information into Manor about its staff, customers, property owners and guests. That includes property access codes and guest details.
- Staff use of Manor is subject to the Company’s own employment or contractor arrangements. Pay rates and earnings shown in Manor are calculated from information the Company enters. The Company remains responsible for paying its workers correctly.
5. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent or harmful, or to harass, threaten or invade anyone’s privacy;
- upload content you do not have the right to share, or content that is illegal, sexually explicit, hateful, violent or that infringes anyone’s rights;
- photograph or record people without the notice or consent the law requires, or use photos for anything other than recording work;
- misuse property access information, such as door codes and Wi-Fi details, or use it for any purpose other than performing the work it was given for;
- try to access accounts, workspaces or data that are not yours, or test, probe or bypass our security;
- interfere with the Service, overload it, or introduce malware;
- copy, reverse engineer, resell or build a competing product from the Service, except as the law expressly allows;
- use bots, scrapers or other automated means to access the Service, other than through features we provide.
6. Your content
“Content” means anything you or your Company put into the Service, such as tasks, notes, messages, photos, property and guest details and invoices. You or your Company keep ownership of it. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display and transmit Content only as needed to provide, secure and support the Service for you and your Company, and as described in our Privacy Policy.
You are responsible for your Content and confirm that you have the rights needed to provide it. We may remove Content that we reasonably believe breaks these Terms or the law.
7. Payments, fees and refunds
- Invoices. Companies issue invoices to property owners through Manor. The amount owed, the services billed and the payment terms are set by the Company. Questions or disputes about an invoice should go first to the Company that sent it.
- Payment processing. Online payments are processed by Stripe, Inc. By paying, or by receiving payouts as a Company, you also agree to Stripe’s terms, including the Stripe Connected Account Agreement for Companies. We never receive or store full card or bank account numbers.
- Processing fees. A Company may choose to pass the payment processor’s fee on to property owners. If it does, the pay page shows the fee for each payment method before you pay, and you can choose a different method. Card fees apply only to credit cards, never to debit or prepaid cards, are capped at the limit allowed by card-network rules and applicable law, and are shown separately on your receipt.
- Bank transfers (ACH debits) take several business days to settle and may be reversed by your bank. A payment counts as received only when it settles.
- Refunds are at the Company’s discretion and under its own policies. If a refund is issued, any processing fee you paid is refunded in the same proportion as the refunded amount.
- Fees to Companies. Companies pay us the platform fees agreed during onboarding, or as later updated with notice. Platform fees are collected through Stripe at the time of each payment and are not charged to property owners.
- Taxes. Each party is responsible for its own taxes.
8. Third-party services
The Service relies on third-party services, including Stripe for payments, and may link to them. Their own terms and privacy policies govern your use of them. We are not responsible for third-party services, and their availability may affect the Service.
9. Our intellectual property
The Service, including its software, design, text, graphics and the Manor name and logo, belongs to us or our licensors and is protected by law. Subject to these Terms, we give you a personal, revocable, non-exclusive, non-transferable license to use the Service, including the app on devices you own or control, for your or your Company’s internal business purposes. If you send us feedback, we may use it without obligation to you.
10. Availability and changes
We work to keep the Service available and secure, but it may sometimes be unavailable for maintenance, updates or reasons outside our control. We may change, add or remove features. If a change materially reduces the Service a Company has paid for, we will give reasonable notice. Some features may require you to update the app.
11. Suspension, termination and deletion
- You may stop using the Service at any time. You can request deletion of your account and personal data as described in the Privacy Policy, or by emailing admin@trymanor.com.
- A Company may remove your access to its workspace at any time.
- We may suspend or terminate access, with notice where reasonable, if you or your Company breach these Terms, fail to pay amounts due, create risk or possible legal exposure for us or others, or if the law requires it.
- When an account ends, the right to use the Service ends. Data is kept or deleted as described in the Privacy Policy. Sections that by their nature should survive termination will survive, including sections 6, 7 (for amounts owed), 9 and 12–17.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that data saved offline will always sync.
We are not responsible for the quality, safety or legality of cleaning or property services performed by a Company or its staff, or for the accuracy of the information a Company enters.
13. Limitation of liability
To the fullest extent permitted by law, neither we nor our suppliers will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service or these Terms. Our total liability for all claims relating to the Service is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the claim arose and (b) US $100.
Some jurisdictions do not allow certain exclusions or limitations. Where that is the case, those limits apply only to the extent permitted.
14. Indemnity
You agree to defend, indemnify and hold us harmless from claims, losses and costs, including reasonable legal fees, arising from your Content, your misuse of the Service, or your breach of these Terms or the law. For a Company, this includes the work it performs and the information it puts into Manor about others.
15. Governing law and disputes
These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Utah, and you and we consent to their jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally for at least 30 days, starting from written notice to the other. Nothing here limits any rights you have under consumer protection laws that cannot be waived.
16. App stores
If you download the app from Google Play or the Apple App Store, the store’s own terms also apply to that download. These Terms are between you and us, not the app store provider. Google and Apple are not responsible for the app or its content, and have no obligation to provide maintenance or support for it.
17. General
- Changes to these Terms. We may update these Terms. We will change the “Last updated” date and, for material changes, notify you in the app or by email before they take effect. Continuing to use the Service after that means you accept the updated Terms.
- Entire agreement. These Terms, the Privacy Policy, and any written agreement between us and a Company form the entire agreement about the Service. If a written agreement with a Company conflicts with these Terms, the written agreement controls for that Company.
- Severability and waiver. If any part of these Terms is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it.
- Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
